Mystery Shopping Services Agreement
This agreement sets out the terms on which the mystery-shopping agency ("Provider") delivers an evaluation programme for the client ("Client"). It becomes effective only when BOTH parties have signed below. The Provider completes the scope and fee tables and signs first, then shares this document with the Client for review and countersignature — either in-app, or by printing, signing and uploading a scanned copy.

Section 2 — Scope: Locations & Visit Volume
The Provider will deliver the visits set out below across the locations recorded in the Client Program File. The Provider completes this table before sharing:
Only scenarios approved in the Client Program File may be deployed. Adding a location or scenario mid-term is agreed in writing and priced before the first visit takes place.
Section 3 — Fees, Reimbursement & Payment
Fees are set by the Provider below. Shopper purchase reimbursements are billed at cost, in addition to these fees, and only up to the cap recorded in the Client Program File.

Invoices are issued monthly in arrears and are payable within 14 days of issue. Spend above the reimbursement cap is not passed on unless approved in writing beforehand. A report rejected by the Provider on quality grounds is not billed, and the visit is re-run at the Provider’s cost.
Section 4 — Report Delivery
- Individual visit reports are delivered within five business days of the visit, once reviewed and accepted.
- Findings meeting the escalation rules in the Client Program File are raised the same day they are verified, ahead of the report.
- A period summary with score trends by location, region and scored area follows at the end of each cycle.
- The Client may query any report within ten business days of delivery; the Provider will re-check the evidence and correct or re-run as appropriate.
Section 5 — Confidentiality
The Provider keeps the Client’s brand, briefs, standards and unpublished findings confidential and uses them solely to deliver this engagement. The Client keeps the identity of the shopper panel, the evaluation criteria and the Provider’s methodology confidential, and will not disclose shopper identities to evaluated staff or attempt to identify an individual shopper from a report. These obligations survive the end of the engagement.

Section 6 — Data Protection & Lawful Use of Findings
Personal data appearing in reports is processed only for the agreed evaluation purpose, held for the agreed retention period and then deleted. The Provider does not use covert audio or video recording. Staff are identified in reports only so far as this agreement and applicable law permit.
A mystery-shopping visit is a single observed sample. The Client agrees that findings will be used for coaching, recognition and trend analysis, and will not be the sole basis for disciplinary action, dismissal or an individual pay decision. The Client is responsible for informing its staff that an evaluation programme operates and for meeting any local consultation or notification requirement.
Section 7 — Cancellation, Rescheduling & Termination
- A scheduled visit cancelled by the Client with at least 48 hours’ notice is rescheduled at no charge.
- A visit cancelled with less notice, or after the shopper has travelled, is billed at the aborted-visit rate.
- Blackout dates recorded in the Client Program File are honoured automatically and are never billed.
- Either party may terminate the engagement on 30 days’ written notice. Visits already completed and reports already delivered remain payable.
- Either party may terminate immediately for a material breach that is not remedied within 14 days of written notice.
