Get started with PocperThis agreement sets out the terms under which the roastery / cafe ("Provider") supplies roasted coffee and related products to the wholesale customer ("Client") on an ongoing basis. It becomes effective only when BOTH parties have signed below. The Provider drafts and signs first, then shares this document with the Client for review and countersignature — either in-app, or by printing, signing, and uploading a scanned copy.

Invoices are issued with each delivery (or monthly, per the billing cycle above) and are due within 14 days of receipt. Late amounts accrue reasonable interest as permitted by law. Prices may be reviewed once per contract year with at least 30 days written notice; green-coffee market surcharges apply only if stated in the table above.

Standing orders are roasted to order and dispatched on the Provider's scheduled roast days. Order changes must reach the Provider at least 3 business days before the next roast day. Coffee is shipped within 48 hours of roasting; the roast date is printed on every bag. Risk in the goods passes to the Client on delivery to the address in Section 1.

The Provider warrants that all coffee conforms to the agreed roast profiles and is free from defects at dispatch. The Client must inspect each delivery and report quality issues, shortages or transit damage within 5 business days of receipt, with photos where practical. Verified issues are remedied by replacement or credit at the Provider's choice. Opened bags beyond a reasonable sampling quantity, and coffee stored contrary to the Provider's storage guidance, are excluded.

While this agreement is in force, the Client may state that it serves the Provider's coffee and may use the Provider's name and logo on menus and social media in the form supplied by the Provider. The Client will not rebrand, re-bag or resell the coffee under another name, and will follow the Provider's written brewing and storage guidance where the Provider's brand is displayed. Either party may require the other to stop a specific brand use that is misleading or damaging.

After the initial term, this agreement renews automatically for successive periods of the same length unless either party gives written notice of non-renewal at least 30 days before the current period ends. Either party may terminate for material breach that remains uncured 14 days after written notice. On termination, the Client pays for all coffee roasted or dispatched up to the effective termination date, and ceases use of the Provider's brand within 30 days.
