Service Engagement Agreement

This agreement sets out the terms under which the Provider will deliver services to the Client. It becomes effective only when BOTH parties have signed below. Either party may sign in-app or print, sign, and upload a countersigned scan.

Section 2 — Scope of Services

Section 3 — Fees & Payment

Fee structure (Provider selects when drafting):

- Hourly — billed in increments of 0.25 hour

- Fixed fee — single agreed amount for the defined scope above

- Monthly retainer — recurring fixed monthly amount

- Milestone-based — invoices issued at each defined deliverable

Out-of-pocket expenses (travel, third-party fees, materials) are billed separately and reimbursed at cost.

Section 4 — Deliverables & Acceptance

Deliverables and acceptance criteria:

Client will review each deliverable within 10 business days and either accept it in writing or provide specific change requests.

Deliverables not rejected in writing within the review period are deemed accepted.

Section 5 — Confidentiality

Each party will keep confidential all non-public information received from the other in connection with this engagement, and will use it only to perform or receive the services. This obligation survives termination for three (3) years.

Both parties acknowledge and agree to the confidentiality obligations above.

Section 6 — Intellectual Property

Upon full payment, Provider assigns to Client all rights in the final deliverables created specifically for Client under this engagement, excluding any pre-existing tools, libraries, or generic know-how, which Provider retains and licenses to Client on a non-exclusive basis solely to use the deliverables.

Both parties acknowledge the intellectual property allocation above.

Section 7 — Termination

Either party may terminate this engagement on 14 days written notice. Upon termination, Client pays for services rendered and approved expenses incurred up to the termination date.
